Drafting and negotiating autonomously contracts, both in ENG and ITA (e.g., a wide range of Service Agreement, Sponsorship Agreements, NDAs, IT contracts, T&Cs, Framework Agreements, etc.) taking into account allocation of budget; being responsible for keeping the internal departments updated on new regulations and compliance requirements; managing corporate secretary duties.

Drafting and negotiating a wide range of contracts both in ENG and ITA, including high value agreements with global players proactively collaborating with the procurement department and taking into account allocation of budget (e.g. Service Agreements, Sponsorship Agreements, Consulting Agreements, Software Lease Agreements, NDAs, Framework Agreements, etc.). Handling corporate secretarial duties, ensuring compliance with statutory and regulatory requirements, attending and drafting minutes of the BoD's and Shareholders' meetings, keeping accurate corporate books and records, liaising with auditors and stakeholders on governance issues. Providing legal advice to all internal departments ensuring integrity of the governance framework and discretion with respect to confidential information. Dealing with compliance matters (i.e. Anti-bribery, COBC, 231 Model, etc.).

Drafting a wide range of contracts providing legal support in this respect to clients (e.g., Shareholders' Agreements, NDAs, IT contracts, Logistics Service Agreements). Drafting legal due diligence reports and coordinating such activities within the internal departments covering multiple legal areas; drafting Sale and Purchase Agreements in the context of national and cross-border M&A transactions for both industrial and private equity clients. Tasked with providing legal research related to corporate law and civil law. Involved in reviewing and analyzing large volumes of documentary evidence; drafting legal documents.
